These terms govern your use of GuardSuite, a cloud-based endpoint security management platform operated by Chester Frazier. By creating an account or using any GuardSuite service, you agree to these terms.

1. Service Description

GuardSuite provides cloud-based endpoint security management tools including USB device control, privilege elevation management, disk encryption compliance, reboot-to-restore, patch compliance monitoring, asset inventory, application control, print management, WiFi security, and credential management. The service consists of a web-based management console and a lightweight Windows agent installed on managed endpoints.

4. Free Trial

All GuardSuite tools include a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you may subscribe to a paid plan to continue using the service.

5. Paid Plans and Billing

Paid subscriptions are billed monthly via Stripe based on the number of managed endpoints. You may cancel your subscription at any time, and cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods.

6. Agent Software

The GuardSuite agent software is licensed, not sold. You are granted a limited, non-exclusive, non-transferable license to install and run the agent on endpoints you manage, solely for use with the GuardSuite service. This license terminates when your account is closed or your subscription ends.

7. Your Data

You own the data you and your endpoints submit to GuardSuite. We process your data solely to provide and improve the service. We do not sell your data or use it for advertising. For details on how we handle your data, see our Privacy Policy.

8. Disclaimer of Warranties

GuardSuite is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by law, GuardSuite's total liability to you for any claims arising from or related to the service is limited to the total fees you have paid to GuardSuite in the 12 months preceding the claim. In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities.

10. Termination

Either party may terminate the service relationship at any time. You may cancel your account through the console or by emailing support@guardsuite.tech. We may terminate or suspend your account if you violate these terms. Upon termination, your data will be permanently deleted within 30 days.

11. Changes to These Terms

We may update these terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the console. Your continued use of GuardSuite after updated terms are posted constitutes acceptance of the new terms.

12. Governing Law

These terms are governed by the laws of the State of Mississippi, United States of America, without regard to conflict of law principles. Any disputes arising from these terms or the service will be resolved in the courts of the State of Mississippi.
